Talexio Proposal Terms & Conditions

The following terms and conditions govern all proposals issued by Expedition42 or Talexio agents (collectively referred to as “we”) to our clients (“you”) for Talexio solutions. These proposals, in conjunction with this “Proposal Terms and Conditions” document, aim to comprehensively outline the solutions we provide, including any hardware extensions, and delineate the responsibilities expected of you. We cover essential aspects such as timelines, deliverables, payment schedules, and any prerequisites or conditions crucial for equipping you with the required solutions swiftly and efficiently. The ensuing sections will provide detailed information to ensure a clear, mutual understanding and a successful collaboration.

Our Commitment To You

  • Talexio is delivered as an HR-First Software as a Service (SaaS) offering, accessible for administration, management and usage from a supported web browser of your choice from any device or location, securely.
  • We will provide you with high-quality solutions that deliver to advertised capabilities.
  • We prioritise transparency and accuracy in all our communications. During the initial stages of our collaboration, we dedicate ourselves to thoroughly understanding your specific needs and requirements. This commitment includes a comprehensive assessment of your objectives to ensure that our solutions can deliver to your unique situation. 
  • We believe in open dialogue and will work closely with you to refine and clarify all aspects of our proposal, guaranteeing that our solutions align perfectly with your expectations and budgetary considerations.
  • In line with this, we make it a point to provide clear, detailed explanations of all associated costs and requirements upfront. Our goal is to establish a foundation of trust and understanding, ensuring that there are no surprises along the way.
  • Unless you request a material change in parameters, there are no additional fees or hidden costs to those covered in the proposal.
  • Licenses will count against users/employees marked as active (not terminated) within the Talexio system. 
  • Subscription license fees include costs for periodic system updates & improvements.
  • We will address any issues with advertised capabilities promptly and effectively.
  • We will deliver agreed projects/work/services on time and within the milestones agreed, subject to your meeting the parameters as documented in the “Your Commitment To Us” section on this page. 
  • We are steadfastly committed to the latest ISO 127001 and security practices to safeguard your information and ensure your trust.
  • Unless otherwise agreed to in writing, Talexio module transactions are supported by a Two (2) hour training session following the initial setup of the agreed package.

Payment Terms & Conditions

  • All Talexio proposals are valid for three (3) months from the issue date.
  • Subscriptions quoted will be agreed upon for two years and invoiced annually on dates pre-agreed between the parties before order confirmation.
  • One-time setup and hardware fees are due upon confirmation of the project, service order, or agreement signing. 
  • Annual subscription fees are due based on an offset from the project start date as agreed upon between us during the discovery phase before the signing of the agreement. 
  • All invoices must be settled within thirty (30) days from the issue date.
  • Quoted fees are exclusive of VAT unless indicated otherwise in writing. 
  • Hardware fees must be settled in full before device allocation to your account. Hardware units in stock are allocated on a first-come, first-serve basis. 
  • Setup and Hardware fees must be fully settled before scheduling hardware installation or onboarding.

Hardware Considerations

  • Power and network points are read before scheduling for installation. 
  • You assume all risks for exterior installations and must protect them from mishandling and weather damage.
  • Devices are covered by a twelve (12) month warranty on hardware parts for manufacturer faults starting from the installation date.
  • The warranty is voided if our technician does not install the device or is moved or tampered with.
  • Temporary replacement for defective devices may be provided at our discretion and may require a refundable deposit.
  • Installations exceeding one hour will incur additional charges at applicable rates at the time of installation. 

Your Commitment To Us

  • You understand that Talexio’s proposals outline our general approach and pricing. The work or service delivery engagement is contingent upon a more comprehensive agreement drafted upon proposal approval that includes outcomes of our deeper discussion. 
  • You will carefully read and understand all documents shared with you on this project, including Hardware Requirements, Proposals, Agreements, Contracts, Invoices, and any other relevant materials. This includes understanding all payment schedules, timeline obligations, and other terms and conditions.
  • For seamless and timely resolution of any issues, you shall assign a named Project Manager who will represent your interests, centralise your requirements, remove blockers on your end,  and ensure that the project scope is met without delays. 
  • You will empower your project manager to take necessary actions and make decisions to expedite the project timeline. 
  • Your Project Manager will promptly respond to all requests for information, approvals, and decisions from Talexio. Timely responses are crucial to maintaining the project timeline and ensuring smooth execution.
  • You will provide Talexio with the necessary access to facilities, equipment, and data required to perform the project tasks, including access to physical premises, software systems, relevant data and relevant documentation.
  • You will adhere to agreed-upon project timelines and milestones. This includes providing timely feedback, approvals, and data needed at onboarding.
  • You will settle all payments following the pre-agreed payment schedule. 
  • You understand that the solutions are provided as-is. Any customisations or changes to formulae on top of the available standard system may require separate consideration. Approved considerations may require separate charges to accommodate out-of-band development schedules, following a detailed debriefing with you to ensure requirements are fully understood.
  • You understand that you can request access to API capabilities, optional digital signing platform, additional training or additional hardware installation support at an additional charge at the rates published at the time of request. 
  • You understand that we may review our fee structure and rates from time to time and will inform you of any changes at least 3 months before the change impacts you.
